These Terms of Use (hereinafter the ”Terms”) govern access to and use of the Stellia mobile application (hereinafter ”Stellia” or the ”Application”), published by:

Acceptance of the Terms

By creating an account on Stellia, you expressly agree to these Terms. This acceptance is confirmed by checking the box “I have read and accept the Terms of Use” during registration.

If you do not accept these Terms, you may not use the Application.

These Terms are drafted in French. In case of translation, only the French version shall prevail.

1. Purpose of Stellia and Important Notice

1.1. Purpose of the Application

Stellia is a mobile application for emotional well-being and visualization of relational dynamics within small groups (families, couples, housemates, close friends).

It notably allows you to:

track your emotional state using visual avatars (stars) and personalized pillars (life domains);
add comments and, where applicable, photos linked to certain check-ins;
create a ”galaxy” / ”tribe” and share certain information with selected members;
benefit from AI coach features (e.g., Ora) offering analyses, observations, and suggestions based on your data.

1.2. Warning — Stellia Is Not a Medical Service

IMPORTANT: Stellia is a tool for well-being, self-reflection, and communication. It does not constitute:

a medical device within the meaning of Regulation (EU) 2017/745;
a mental health service, psychotherapy, or diagnostic tool;
a substitute for the advice of a healthcare professional.

In particular:

No content in the Application (AI messages, analyses, suggestions, visualizations, notifications, etc.) should be interpreted as a diagnosis, medical recommendation, or psychotherapy;
The AI features (Ora) generate automated content that may be imperfect, incomplete, or unsuitable for your personal situation;
Stellia does not replace the advice of a healthcare professional, nor appropriate medical or psychological care.

1.3. In Case of Distress or Emergency

If you are experiencing significant distress, suicidal thoughts, or any other concerning symptoms, contact a healthcare professional or emergency services immediately.

Stellia may display help links or phone numbers, but does not handle real-time emergencies and cannot detect crisis situations.

2. Access Conditions and Eligibility

2.1. Minimum Age

Stellia is intended for persons aged 13 and over.

Use of Stellia is subject to the following age requirements:

By creating an account, you represent and warrant that:

you are at least 13 years old;
if you are between 13 and 15 years old, you have obtained the consent of your parent or legal guardian to use the Application;
if you are a parent or legal guardian, you expressly authorize the minor in your care to use Stellia.

KODYO reserves the right to suspend or close any account whose use appears inconsistent with these age requirements, without prejudice to other remedies.

2.2. Age and Parental Consent Verification

When creating your account, we will ask you to confirm your age range. For users aged 13 to 15, a parental consent verification mechanism will be implemented (for example: email confirmation from the parent, self-certification).

2.3. User Account

Access to Stellia requires the creation of a user account.

When creating and using your account, you agree to:

provide accurate and up-to-date information (including a valid email address);
choose a username that does not infringe on the rights of third parties, public order, or public decency;
maintain the confidentiality of your login credentials and not share them;
notify us immediately of any unauthorized use of your account.

You are fully responsible for all activity conducted through your account. If you suspect your account has been compromised, contact us immediately at [email protected].

3. Main Features

Stellia offers the following features:

3.1. Emotional Tracking

Creating regular check-ins with stars and pillars (scores, feelings)
Adding comments and, in some cases, photos associated with your check-ins
History and visualization of your trends

3.2. Tribe / Galaxy

Creating a ”tribe” or ”galaxy” linking multiple accounts (family, couple, housemates, close friends)
Setting the sharing level (who sees what)
Social notifications (according to your settings)

3.3. AI Coach (Ora)

Analysis of your data (check-ins, pillars, trends, interactions)
Generation of insights, messages, suggestions, and personalized notifications
Conversational features

Note: AI features are subject to your consent and can be disabled at any time in the Application settings. See our Privacy Policy for more details.

3.4. Feature Updates

KODYO may add, modify, or remove certain features of the Application as part of its continuous improvement.

In case of substantial modification of a feature included in your paid subscription:

You will be notified at least 30 days in advance by notification in the Application or by email;
You may cancel your subscription at no cost before the modification takes effect;
Failure to cancel will be deemed acceptance of the modification.

Modifications that do not substantially affect the service (bug fixes, minor improvements, feature additions) may be deployed without notice.

4. Subscriptions, Pricing, and Payments

4.1. Freemium Model

Stellia is available as:

a free version with limited access to certain features;
one or more paid offers (monthly, annual subscriptions, family plans, etc.) providing access to additional features.

Details of the offers, their features, and their prices are indicated:

in the Application;
on the Apple App Store and Google Play Store.

Prices include all applicable taxes. They may change; any price change will be communicated before the next renewal.

4.2. Free Trial

KODYO may offer a free trial period (for example, 7 or 14 days) of certain paid features.

Free trial conditions:

The duration and content of the trial are specified during your registration;
Automatic conversion: unless you cancel before the end of the trial period, the subscription will be automatically converted to a paid subscription and billed through your app store (Apple / Google);
To avoid being charged, you must cancel at least 24 hours before the end of the trial period, via your Apple or Google account settings.

4.3. Subscription and Payment Management

Subscriptions and payments are managed exclusively through the app stores (Apple App Store, Google Play Store).

Accordingly:

The payment, billing, automatic renewal, and refund conditions are those defined by these stores;
You must manage your subscriptions (activation, cancellation, plan changes) directly through your Apple or Google account settings;
KODYO does not have access to your credit card information.

4.4. Right of Withdrawal

In accordance with Article VI.47 of the Belgian Code of Economic Law and Directive 2011/83/EU on consumer rights, you have in principle a 14-day right of withdrawal for any distance purchase.

However, by agreeing to start using the service immediately after your purchase (including when converting a free trial to a paid subscription), you expressly acknowledge:

requesting immediate execution of the service;
waiving your right of withdrawal for the current subscription period.

This waiver is obtained during subscription through the Apple and Google store mechanisms.

4.5. Refunds

Refund requests must be made directly to your app store:

5. Acceptable Use and User Content

5.1. Your Content

In Stellia, you may create or upload:

texts (comments, journals, responses to AI questions, etc.);
photos associated with certain check-ins;
information about your relationships (tribe members, connections, etc.).

You remain solely responsible for the content you create or share through the Application.

5.2. Usage Rules

By using Stellia, you agree not to:

Prohibited content:

Post or share illegal, defamatory, insulting, hateful, discriminatory, obscene, violent, or pornographic content;
Post or share sensitive personal data about third parties without their explicit consent;
Impersonate a third party or create a fake profile.

Prohibited behaviors:

Harass, threaten, intimidate, or harm other users, particularly minors;
Use the Application for unauthorized commercial purposes, spam, or solicitation;
Use Stellia for purposes contrary to the law, public order, or public decency.

AI manipulation:

Attempt to bypass, manipulate, or force the behavior of the AI (for example through “prompt injection” techniques, malicious instructions, or data extraction attempts);
Use the AI to generate illegal, harmful, or misleading content.

5.3. Moderation and Reporting

Reporting: If you believe that content or behavior is inappropriate or contrary to these Terms, you may:

report it through the mechanisms provided in the Application (if available);
contact KODYO at [email protected].

Measures: KODYO may take appropriate measures, including:

Warning;
Removal of the offending content;
Temporary suspension of access;
Permanent account closure.

These measures may be taken without notice or detailed justification in case of serious risk or clear violation. In case of dispute, you may contact us to present your observations.

6. Social Features and Tribe

6.1. Creating and Managing the Tribe

Stellia allows you to create a ”tribe” or ”galaxy”, i.e., a set of linked accounts.

By configuring these connections, you can:

Invite other users to join your tribe;
Choose the sharing level (e.g., only a visual status, with or without pillar details);
Enable or disable certain notifications (e.g., alerts when a member reports feeling low).

6.2. Your Responsibility

You are responsible for:

the people you invite to your tribe;
the sharing choices you make;
the content you share with your tribe members.

6.3. Protection of Minors Within the Tribe

If you invite or allow a minor (13-17 years old) to join your tribe:

You agree to exercise particular vigilance over their use of the Application;
You ensure that this use is appropriate for their age and maturity;
You acknowledge that Stellia cannot monitor or control family relationships or the actual context in which the Application is used.

KODYO applies enhanced protection measures for accounts identified as belonging to minors, including increased vigilance over AI-generated content.

7. Artificial Intelligence — Operation and Limitations

7.1. Nature of AI Features

Stellia includes artificial intelligence features (Ora) that:

analyze certain of your data (check-ins, pillars, history, interactions);
generate personalized messages, observations, suggestions, notifications, and insights.

These features rely on language models provided by third parties (Google, OpenAI, Anthropic) and are subject to your prior consent.

7.2. Limitations and Warnings

You acknowledge and accept that:

AI responses are produced automatically, based on statistical models;
These responses may be imperfect, incomplete, inaccurate, or unsuitable for your specific situation;
The AI may generate content that appears plausible but is factually incorrect (“hallucinations”);
Generated content does not constitute professional advice (medical, psychological, legal, financial, etc.);
You remain fully responsible for your decisions and actions, including when considering AI-generated content.

7.3. Use of Your Data by the AI

Your data is used to generate personalized responses within the scope of your use of Stellia only;
Your data is never used to train the AI models of our third-party providers;
Data transmitted to AI providers is pseudonymized (no real name, no email).

7.4. Disabling

You can disable AI features at any time in the Application settings (Settings > Privacy > AI Features). Disabling will result in the loss of personalized coaching features but will not affect other Stellia features.

8. Intellectual Property

8.1. KODYO’s Rights

All elements comprising Stellia — the application, trademarks, “Stellia”, “Ora” logos, graphics, design, animations, texts, features, databases, source code — are protected by applicable intellectual property laws (copyright, trademarks, designs and models, patents where applicable).

Subject to the limited rights granted to you by these Terms, all rights to Stellia belong to KODYO or its licensors.

Any reproduction, representation, modification, adaptation, translation, commercial exploitation, or reuse of elements of Stellia without prior written authorization from KODYO is prohibited and constitutes infringement.

8.2. Application Use License

KODYO grants you a personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use Stellia:

for your own, non-commercial purposes;
in compliance with these Terms and applicable law;
on devices that you own or are authorized to use.

This license does not confer any ownership rights to the Application or its components.

8.3. Your Content — License Granted to KODYO

You retain full ownership of the content you create in Stellia (emotional check-ins, comments, photos).

By using the Application, you grant KODYO a worldwide, non-exclusive, royalty-free, revocable, and limited license to use this content solely for the following purposes:

Display in the Application interface;
AI analyses to generate personalized suggestions;
Sharing within your tribe according to your privacy settings;
Anonymization and retention for statistical purposes (in accordance with the Privacy Policy).

This license automatically terminates when you delete the relevant content or your account.

9. Service Availability

9.1. Best Efforts Obligation

KODYO implements reasonable efforts to ensure the proper functioning and availability of Stellia. This is a best efforts obligation, not a guarantee of results.

9.2. Interruptions

You acknowledge that the Application may be interrupted:

for scheduled maintenance operations (we will endeavor to inform you in advance);
for updates;
in case of technical incidents;
for security reasons.

9.3. Changes

The Application may evolve over time. Certain features may be modified, added, or removed, under the conditions set out in Section 3.4.

10. Liability and Warranties

10.1. Disclaimer of Warranties

To the extent permitted by applicable law, Stellia is provided ”as is“.

KODYO does not warrant that:

Stellia will be free from bugs, errors, or interruptions;
The results, analyses, or suggestions provided by the AI will be accurate, complete, or suitable for your situation;
The Application will meet your specific expectations.

10.2. Limitation of Liability

To the extent permitted by applicable law, KODYO shall not be liable for:

damages resulting from use of Stellia not in compliance with these Terms or the warnings displayed;
the content you create or share (texts, photos, social links, etc.);
decisions or actions you take based on AI-generated content;
loss or corruption of data due to improper use, defective device, poor connection, or third-party service;
indirect damages, including: loss of data, loss of opportunity, emotional distress, loss of profits, damage to image or reputation.

10.3. Liability Cap

In any event, except in cases of gross negligence, willful misconduct, or contrary mandatory provisions, KODYO’s total liability, for all causes combined, shall be limited to the amounts actually paid by you for Stellia during the twelve (12) months preceding the event giving rise to the damage.

10.4. Legal Reservations

Nothing in these Terms limits or excludes KODYO’s liability:

for personal injury or death caused by its negligence;
for fraud (willful misconduct) or gross negligence;
for any other liability that cannot be excluded or limited under applicable law, including mandatory consumer rights.

11. Force Majeure

KODYO shall not be held liable for failure to perform or delay in performing its obligations resulting from a force majeure event within the meaning of Article 5.226 of the Belgian Civil Code.

The following are considered force majeure events:

natural disasters, epidemics, pandemics;
wars, acts of terrorism, riots;
widespread failures of telecommunications or electricity networks;
cyberattacks of exceptional scale;
governmental or regulatory decisions making service performance impossible;
failure of cloud infrastructure providers beyond KODYO’s control.

In case of force majeure lasting more than three (3) months, either party may terminate the contract without compensation, subject to pro-rata reimbursement of amounts paid for services not rendered.

12. Duration, Suspension, and Termination

12.1. Duration

These Terms take effect upon the creation of your account and remain applicable throughout your use of Stellia.

12.2. Termination by the User

You may at any time:

Delete the Application from your device;
Cancel your subscription via your Apple or Google account settings (cancellation takes effect at the end of the current period);
Delete your account from Stellia settings (Settings > Account > Delete my account).

Account deletion results in the permanent deletion of your data within 30 days, in accordance with our Privacy Policy.

12.3. Suspension or Termination by KODYO

KODYO may suspend or terminate your access to Stellia, with or without notice depending on the severity, particularly in case of:

Non-compliance with these Terms;
Fraudulent, abusive, or dangerous use of the Application;
Attempts to manipulate the AI or security systems;
Request from a competent authority;
Non-payment of a subscription (after notification).

In case of suspension or termination for fault, you will not be entitled to any refund of amounts paid.

12.4. Effects of Termination

Account termination does not affect:

rights and obligations that arose before that date;
legal obligations for data retention;
amounts due under a current subscription.

Clauses intended to survive termination (intellectual property, limitation of liability, applicable law) remain in effect.

13. Personal Data

Use of Stellia involves the processing of personal data within the meaning of the General Data Protection Regulation (GDPR) and applicable Belgian law.

The detailed terms of these processing operations are described in Stellia’s Privacy Policy, including:

categories of data collected;
purposes and legal bases for processing;
retention periods;
your rights (access, rectification, erasure, portability, objection, etc.);
any transfers outside the EU;
security measures.

By creating an account, you confirm that you have read the Privacy Policy.

14. Modifications to the Terms

14.1. Right to Modify

KODYO reserves the right to modify these Terms to:

reflect changes to the Application or service;
take into account legislative or regulatory changes;
improve clarity or correct errors.

14.2. Notification

Minor modifications (clarifications, editorial corrections): update of the last modification date, available in the Application.

Substantial modifications (new obligations, changes to pricing terms, modification of user rights):

Notification at least 30 days in advance by email and/or notification in the Application;
Clear indication of the changes made;
Ability to delete your account before the changes take effect if you do not accept the new terms.

14.3. Acceptance

Continued use of Stellia after substantial modifications take effect constitutes acceptance of the new Terms.

If you do not accept the modifications, you must stop using the Application and, if applicable, delete your account before the effective date.

15. Applicable Law and Dispute Resolution

15.1. Applicable Law

These Terms are governed by Belgian law.

If you reside in another European Union Member State, you also benefit from the mandatory provisions of the consumer protection legislation of your country of residence that would be more favorable to you.

15.2. Complaints and Amicable Resolution

In case of difficulty relating to the use of Stellia or these Terms, we invite you to contact us first at [email protected] to seek an amicable solution.

We commit to acknowledging receipt of your complaint within 5 business days and to providing you with a response within 30 days.

15.3. Mediation

In accordance with Articles XVI.1 and following of the Belgian Code of Economic Law and Regulation (EU) No. 524/2013, if you are a consumer and we are unable to resolve your complaint amicably, you may use a mediation service free of charge:

15.4. Competent Courts

Failing amicable resolution or mediation, and subject to mandatory jurisdiction rules applicable to consumers, the French-speaking courts of the judicial district of Walloon Brabant (Nivelles), Belgium shall have exclusive jurisdiction over disputes relating to these Terms.

16. General Provisions

16.1. Entire Agreement

These Terms, together with the Privacy Policy and, where applicable, the specific conditions applicable to certain features, constitute the entire agreement between you and KODYO concerning the use of Stellia.

They replace any prior agreement, written or oral, relating to the same subject matter.

16.2. Partial Invalidity

If any provision of these Terms is declared null, invalid, or unenforceable by a competent court, such nullity shall not affect the validity of the other provisions, which shall remain in full force and effect.

The null provision shall be replaced by a valid provision that most closely reflects the original intent of the parties.

16.3. Waiver

KODYO’s failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right.

16.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without KODYO’s prior written consent.

KODYO may freely assign or transfer its rights and obligations, particularly in case of merger, acquisition, or asset sale, subject to informing you.

16.5. Independence of the Parties

These Terms do not create any partnership, agency, mandate, or employment relationship between you and KODYO.
